TruSearch Traffic Partner Terms & Conditions

1. OVERVIEW

These terms and conditions as set forth and outlined are intended to clarify the partnership agreement between the traffic partner and TruSearch, a Division of Diversified Web Solutions.



2. AGREEMENT

TruSearch agrees to provide the xml or html code to the partner so that he/she may display TruSearch paid listings on their web site. TruSearch reserves the right to approve or disapprove the inclusion of the listings on the partners web site at our sole discretion.



3. WARRANTY

The TruSearch code and content provided to partner is on an "as is" basis. No warranty of any kind is given either expressed or implied.



4. NON-DISCLOSURE AND CONFIDENTIALITY

All correspondence between TruSearch and partner whether written, verbal or by electronic means shall be considered confidential and shall not be disclosed to third parties without the written consent of Diversified Web Solutions LLC.



5. PARTNER RESPONSIBILITIES

TruSearch partners are fully responsible for the activity of it's affiliates and affiliate programs they may operate in regards to the validity of click-through's directed to TruSearch paid listings.

Partner also agrees not to use e-mail, spam, or the like to generate searches or clicks.

Partner furthermore agrees not to participate in click exchange programs, Paid to Read (PTR) or the like and will block the IP address or URL of any of it's affiliates who violate these terms.

Partner agrees to keep all contact and payee information up to date and accurate. Failure to do so may result in a delay in receiving payments.

Partners living in the US shall provide Federal ID number or Social Security number to TruSearch prior to their first payment. Partners living outside the US shall provide the necessary documents as requested by TruSearch for the purpose of taxation, or other as determined by their country.

Traffic Partners web site must be written in English and targetted to English speaking countries. Unless Partner has been approved for inclusion to our International advertisers. 

      Display of Ads via Cookies or Downloadable Applications.  The license granted above is    conditioned on Publisher’s and the Network Publishers’ adherence to the following:  a) if Publisher displays or allows a third party to display Paid Listings via any “cookie” or application that is downloaded to a User’s computer or browser (only with TruSearch’s prior written consent), Publisher represents and warrants, on behalf of itself and the Network Publishers, that such cookie or application shall: (i) not gather any personally identifiable information (such as an individual’s name, telephone number, e-mail address and/or street address) or financial information of the User; and (ii) not gather any information about the web pages accessed by the computer on which it is installed; b) if Publisher displays or allows a third party to display Paid Listings via any application that is downloaded to a User’s computer or browser, Publisher represents and warrants that such application shall (iii) only be installed after clear and conspicuous notice to the User; (iv) only be installed after the User’s express and informed consent to installation; (v) allow for uninstallation that can be performed without undue effort or knowledge by the User; (vi) allow for successful removal of such client-side application using the “Add/Remove Programs” functionality of Microsoft Windows (or similar functionality on other platforms); (vii) not re-install itself without the User’s express consent prior to each such re-installation; (viii) not install or allow the installation of any other programs not clearly and conspicuously disclosed to the User, (ix) clearly display the Publisher’s privacy policy (or a link or other access to it); and (x) comply with all Applicable Laws.  Publisher agrees to provide TruSearch with a copy of, and a license to use, any and all downloadable applications and all updates and upgrades thereto that Publisher uses, or allows third parties to use, to display Paid Listings.

1. PROHIBITED ACTIVITY

The use of any script, bot, spyder, or other computer program to generate clicks is strictly prohibited.

Caching of listings is not allowed.

Searches originating from open proxy servers are not allowed.

Searchbox and/or Contextal Ads Traffic Partners (non xml feed) cannot have any competitors searchbox on the same page as a TruSearch searchbox, or contextual advertisment.

Offering insentives of any kind to entice a user to search and/or click on any listing.



2. CONTENT OF PROVIDED LISTINGS
   

TruSearch paid listings may be displayed on the partners web page(s) so long as the pages do not contain, or promote - pornography, hate or violence, vulgar or obscene content, or any other objectionable material.

The paid listings must be displayed in the original form and may not be altered in any manner, unless agreed to in writing by Diversified Web Solutions LLC.



3. REVENUE AND COMPENSATION

TruSearch shall pay partners Fifty (50%) of the actual keyword bid price for all listings that are determined to be valid clicks. Revenue generated by fraudulent means or violate these terms will not be compensated.

Payment of revenue earned by partner may be requested once partners balance has reached a minimum of Fifty ($50.00 usd). Payment will be forwarded to partner within 30 days at the close of each month.

Once payment has been made to partner for the requested time period, it shall be determined to be compensation in full.




4. REPORTING

TruSearch will provide on-line click-through reports to the partner by the use of a user name and password. Reports are subject to adjustments either up or down after our daily audit is performed to verify the validity of click through's.

Any discrepancy in reporting shall be brought to the attention of TruSearch within 7 days.



5. UNDERSTANDING AND ACCEPTANCE

Partner agrees that he/she fully understands these terms and conditions, and accepts them as written. Partner also agrees that any violation of these terms may result in their termination in the partner program, and at the sole discretion of TruSearch possible loss of earned revenue.

Acceptance of this agreement by the partner, shall be legally binding by both parties and governed by the laws of the State of Oregon - USA.



6. CONCLUSION

Either party may terminate this agreement by giving *10 days written notice to the other party. Upon termination, so long as the partner has fully complied with these terms, full compensation of earned revenue will be made as outlined above.

These terms and conditions may be modified by TruSearch at any time. Written or electronic notice will be given to current partners of any change to these terms.



If partner is found to have violated these terms by use of fraudulent means to generate clicks and/or revenue, immediate termination will result and all revenue earned will be relinquished.

If partner does not fully agree to these terms as outlined above, they are forewarned not to participate in any partner program that TruSearch offers.
